The Delhi High Court has dismissed an appeal by Unity Small Finance Bank, upholding an interim order that protects BharatPe parent Resilient Innovations' veto rights over proposed capital restructuring. The ruling restrains Unity SFB from tabling a resolution to expand its authorised share capital from ₹4,000 crore to ₹4,900 crore without prior written consent from BharatPe and Centrum Financial Services. BharatPe had contested the restructuring plan, arguing it violated reserved matter clauses in their 2021 shareholders' agreement and would dilute its equity stake in the small finance bank from 49% to 21%.
