A division bench of the Delhi High Court has dismissed an appeal by Unity Small Finance Bank, upholding interim protection granted to BharatPe's parent company, Resilient Innovations Private Limited (RIPL). The ruling affirms that Unity Bank and its promoter cannot act on reserved matters without RIPL's prior written consent, as stipulated under Clause 8 of their Shareholders’ Agreement. The bench rejected the bank's claim of an inadvertent error and dismissed arguments regarding Reserve Bank of India disapproval, noting the contract's non-obstante clause takes precedence over the company's Articles of Association.
